In these Terms and Conditions, “BAILAN”, “we”, “us” and “our” refer to KE DE JEWELRY PTE. LTD. “You” and “your” refer to any visitor to the Website or customer purchasing our products.

Please read these Terms and the referenced policies carefully before using the Website or placing an order. If you do not agree with them, you must not use the Website or purchase our products.

You must be at least the age of majority in your country or place of residence to place an order. If you are under the age of majority, you may use the Website only with the involvement and consent of a parent or legal guardian.

3. PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, photographs, materials, dimensions, colours, prices and other information displayed on the Website are accurate.

However, colours and appearance may vary depending on your screen, device settings, lighting and the characteristics of natural or handcrafted materials. Minor variations that do not materially affect the product’s function or overall appearance will not necessarily constitute a defect.

All products are subject to availability. We reserve the right to limit quantities, discontinue products, correct errors and update product information, provided that doing so does not limit any mandatory consumer rights.

Product care instructions and material information displayed on the relevant product page form part of the product description. Customers should review this information before purchasing or using a product.

4. ORDERS AND ORDER ACCEPTANCE

Placing an order constitutes an offer by you to purchase the selected products under these Terms.

An order confirmation acknowledges that we have received your order but does not necessarily mean that the order has been accepted. We accept your order when we send you a shipping confirmation or otherwise expressly confirm acceptance.

We reserve the right to reject, limit or cancel an order for legitimate reasons, including where:

(a) the product is unavailable;
(b) pricing or product information contains a material error;
(c) payment cannot be authorised;
(d) we reasonably suspect fraud or unauthorised activity;
(e) delivery is not available to the address provided; or
(f) the order violates these Terms or applicable law.

If we cancel an order after payment has been taken, we will refund the relevant amount to the original payment method.

Please review your order and delivery information carefully before submitting it. If you wish to cancel or change an order, contact us as soon as possible at BN@bailanglobal.com. We will make reasonable efforts to assist, but we cannot guarantee cancellation or modification after processing or shipment has begun.

Products purchased through the Website are intended for personal or household use and not for unauthorised commercial resale.

5. PRICES, CURRENCY, TAXES AND CUSTOMS DUTIES

Unless otherwise stated, prices on the Website are displayed in United States dollars (USD).

Applicable sales taxes or similar charges, if any, will be calculated or disclosed at checkout as required by applicable law.

For orders accepted and shipped by BAILAN, applicable customs duties and import taxes imposed on the original shipment will be covered by BAILAN.

Customers will not be required to pay additional customs duties or import taxes upon delivery unless the charges arise from inaccurate or incomplete information provided by the customer, refusal to accept delivery, failure to cooperate with customs clearance, or a customer-requested change after shipment.

Prices, promotions and discounts may change without notice, but changes will not affect an order that we have already accepted, except where correction is required by law or where there is an obvious pricing error.

6. PAYMENT

Available payment methods will be displayed at checkout. Payments may be processed by third-party payment service providers, card networks and digital wallet providers.

By submitting payment information, you represent that:

(a) the information is accurate and complete;
(b) you are authorised to use the selected payment method; and
(c) sufficient funds or credit are available to complete the purchase.

Your payment may be subject to authorisation, security verification, fraud screening and the terms of the relevant payment provider.

We do not guarantee that every payment method will be available in every country, currency or transaction.

7. SHIPPING AND DELIVERY

Shipping destinations, processing times, estimated delivery times, shipping fees and other delivery conditions are described in our Shipping Policy:

For in-stock products, orders are generally processed within 1–3 business days after payment confirmation.

Estimated standard delivery times currently include:

(a) United States: 7–15 business days;
(b) United Kingdom: 7–15 business days;
(c) Australia: 7–15 business days; and
(d) Canada: 13–18 business days.

Standard shipping is free for all orders delivered to the United States, United Kingdom, Canada and Australia.

For all other international destinations available at checkout, a USD 10 standard shipping fee applies to orders under USD 99. Standard shipping is free for orders of USD 99 or more.

The final shipping fee, if applicable, will be displayed at checkout before payment.

Processing and delivery times are estimates rather than guarantees. Delays may occur because of customs procedures, carriers, weather, public holidays, peak periods, inaccurate delivery information or circumstances outside our reasonable control.

You are responsible for providing a complete and accurate physical delivery address. We currently do not ship to P.O. Boxes or APO/FPO military addresses.

Risk of loss passes to you when the order is delivered to you or a person authorised by you to receive it, subject to any mandatory rights under applicable law.

If tracking shows that your package has been delivered but you have not received it, please contact us within seven days of the recorded delivery date.

If your product arrives damaged during transit, please contact us within seven days after receiving the package.

If your package has not arrived within the estimated delivery period or its tracking information has not been updated for an extended period, please contact us as soon as possible.

To help us investigate a lost, missing or damaged package, please provide your order number, relevant tracking information, photographs of the product and photographs of the packaging where applicable.

If a package is confirmed to have been lost or damaged during transit, we will provide an appropriate remedy, which may include a replacement or refund, at no additional cost to the customer.

8. RETURNS, REFUNDS AND EXCHANGES

You may request a return within seven days after delivery.

We do not exclude any entire product category from return solely because of the type of product. However, to qualify for a return, the product must be unworn, unused, undamaged, complete, in resalable condition and returned in its original packaging with all tags, certificates and included accessories attached or enclosed.

Products will not qualify for return if they:

(a) are returned after the seven-day return period;
(b) have been worn, used, altered, repaired or intentionally damaged;
(c) have been damaged through improper handling, use, maintenance or care;
(d) are missing tags, certificates, accessories or original packaging; or
(e) are otherwise incomplete or unsuitable for resale.

To request a return, email BN@bailanglobal.com before sending the product. Include your order number, the reason for return and photographs if the request concerns a quality issue.

Returns sent without prior authorisation may not be accepted. Once a return is approved, we will provide the return address and instructions.

For returns unrelated to a product defect, transit damage, an incorrect product or another fault attributable to BAILAN, the customer is responsible for the return shipping costs and any charges associated with the return shipment.

If the product is defective, damaged during transit or different from the product ordered, and we confirm the issue, BAILAN will bear the reasonable costs of the authorised return or other agreed remedy.

After receiving and inspecting an eligible return, we will process the refund within seven business days. Refunds will be issued to the original payment method. Your bank or payment provider may require additional time to credit the funds to your account.

Exchanges are subject to product availability.

Nothing in this section limits rights or remedies that cannot lawfully be excluded under applicable consumer protection law.

9. WARRANTY AND AFTER-SALES SERVICE

Products may be covered by the repair, replacement and after-sales support described in our Warranty Policy:

Warranty coverage applies only in accordance with the eligibility requirements, exclusions and procedures stated in that policy.

To request warranty service, contact BN@bailanglobal.com and provide your order number, a description of the issue and clear photographs of the product.

The warranty is in addition to, and does not replace or limit, any non-excludable statutory consumer rights.

10. ACCOUNTS AND CUSTOMER INFORMATION

You are responsible for ensuring that information supplied when creating an account or placing an order is accurate, complete and current.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. Notify us promptly if you reasonably believe that your account has been accessed without authorisation.

We may suspend or restrict an account where reasonably necessary to protect the customer, the Website, other users or our business from fraud, misuse or security threats.

11. PROMOTIONS, DISCOUNTS AND GIFT OFFERS

Promotions, discount codes, gifts and special offers may be subject to additional conditions, eligibility requirements and expiry dates.

Unless otherwise stated:

(a) promotional offers cannot be combined;
(b) discount codes cannot be exchanged for cash;
(c) promotions apply only during the stated period; and
(d) we may withdraw or correct a promotion affected by fraud, misuse or a material error.

If specific promotional terms conflict with these Terms, the specific promotional terms will apply to that promotion.

12. INTELLECTUAL PROPERTY

The Website and its content, including the BAILAN name, logos, product designs, photographs, text, graphics, videos, audio, page layouts and other materials, are owned by or licensed to KE DE JEWELRY PTE. LTD. and are protected by applicable intellectual property laws, including the laws of Singapore.

You may access and use the Website only for lawful, personal and non-commercial purposes.

Without our prior written consent, you must not reproduce, modify, distribute, publish, sell, commercially exploit or create derivative works from the Website or its content, except where permitted by applicable law.

No right or licence is granted to use the BAILAN name, trademarks, product designs or other intellectual property except as expressly stated in these Terms.

13. REVIEWS, FEEDBACK AND USER CONTENT

If you submit a product review, photograph, comment, suggestion or other content to us, you confirm that:

(a) you own or have permission to submit it;
(b) it is accurate and not misleading;
(c) it does not violate another person’s intellectual property, privacy or other rights; and
(d) it does not contain unlawful, defamatory, abusive or malicious material.

You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, publish and display the submitted content for operating, improving and promoting BAILAN and our products, subject to applicable law.

We may remove content that violates these Terms or applicable law. We are not required to publish every review or submission.

14. PROHIBITED USES

You must not use the Website:

(a) for unlawful, fraudulent or malicious purposes;
(b) to infringe intellectual property, privacy or other legal rights;
(c) to transmit viruses, malware or harmful code;
(d) to interfere with the Website’s operation or security;
(e) to obtain unauthorised access to an account, system or data;
(f) to collect personal information about other users without authorisation;
(g) to submit false, deceptive or misleading information;
(h) to send spam or unauthorised promotional material; or
(i) in any way that violates applicable law or causes material harm to us, our customers or third parties.

We may restrict or terminate access where we reasonably determine that these Terms have been materially violated.

15. THIRD-PARTY SERVICES AND LINKS

The Website may use or link to third-party services, including Shopify, payment providers, delivery carriers, review platforms, social media services and analytics providers.

Third parties may apply their own terms and privacy notices. We are not responsible for third-party websites or services that are not controlled by us, except to the extent responsibility cannot be excluded under applicable law.

BAILAN’s online store is hosted and supported by Shopify. Purchases made through the Website are transactions between you and KE DE JEWELRY PTE. LTD., not between you and Shopify.

17. ERRORS AND AVAILABILITY

The Website may occasionally contain typographical errors, inaccurate information, omissions or temporary service interruptions.

We may correct errors, update information and restore or modify Website functionality. If a material error affects an order you have already placed, we will notify you and provide an appropriate option, which may include confirming the corrected terms or receiving a refund.

18. WARRANTIES AND STATUTORY RIGHTS

We will provide products with the standard of quality required by applicable law.

Except for express warranties provided by us and rights that cannot lawfully be excluded, the Website is provided on an “as available” basis. We do not guarantee that access to the Website will always be uninterrupted, completely secure or error-free.

Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, right or remedy that cannot lawfully be excluded or restricted under applicable consumer protection law, including mandatory rights available to consumers in their country or place of residence.

19. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, punitive or consequential losses that were not reasonably foreseeable when the order was accepted.

To the maximum extent permitted by applicable law, our total liability arising from a particular product or order will not exceed the amount paid for that product or order.

These limitations do not apply to:

(a) fraud or fraudulent misrepresentation;
(b) wilful misconduct or gross negligence;
(c) death or personal injury caused by negligence where liability cannot be excluded;
(d) breach of obligations that cannot lawfully be limited; or
(e) mandatory consumer rights and remedies.

20. INDEMNITY

To the extent permitted by applicable law, you agree to compensate us for reasonable losses and liabilities arising directly from your unlawful use of the Website, your material breach of these Terms or your infringement of a third party’s rights.

This section does not require you to compensate us for losses caused by our own breach, negligence or unlawful conduct.

21. SUSPENSION AND TERMINATION

You may stop using the Website at any time.

We may suspend or terminate your access if you materially violate these Terms, engage in fraudulent or unlawful activity, or create a material security risk.

Termination does not affect rights, obligations or liabilities that arose before termination. Provisions that by their nature should continue, including intellectual property, liability, governing law and dispute provisions, will survive termination.

22. GOVERNING LAW AND DISPUTES

These Terms and any dispute or claim arising from them, the Website or a purchase from BAILAN are governed by the laws of Singapore.

You and KE DE JEWELRY PTE. LTD. submit to the jurisdiction of the courts of Singapore.

Before starting formal proceedings, you and we agree to make reasonable efforts to resolve the dispute by contacting the other party and providing relevant details.

If you are a consumer residing outside Singapore, this choice of law and jurisdiction does not deprive you of mandatory consumer protections or rights that apply under the laws of your country or place of residence and cannot lawfully be excluded by agreement.

23. CHANGES TO THESE TERMS

We may update these Terms to reflect changes to our business, Website, policies, services or legal obligations.

The updated Terms will be posted on this page with a revised “Last updated” date. Material changes will apply prospectively unless applicable law requires otherwise.

The Terms in effect when we accept an order will generally govern that order.

24. SEVERABILITY, WAIVER AND ENTIRE AGREEMENT

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted or severed, and the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

These Terms and the policies incorporated by reference constitute the agreement between you and us regarding use of the Website and purchases made through it, except for any additional terms expressly agreed in writing.

25. LANGUAGE

These Terms may be made available in languages other than English. To the extent permitted by applicable law, if there is an inconsistency between the English version and a translated version, the English version will prevail.
